Dismissal of $80 Million Lawsuit Against Chainalysis

Jun 12, 2024

The Manhattan Supreme Court has dismissed an $80 million lawsuit against Chainalysis following a ruling by Justice Joel Cohen. The lawsuit, filed by former Chainalysis employee Blake Ratliff, claimed that the company had breached an oral agreement by altering the terms of his stock options. Ratliff's allegations were dismissed by the court due to issues with the timing of the claims and residency matters. Chainalysis argued that oral agreements are unenforceable under New York's statute of frauds, which requires written documentation of specific agreements. Ratliff, who specialized in Bitcoin tracing during his brief tenure at Chainalysis, argued for an extended statute of limitations based on his residency but was countered by the court's decision in favor of Chainalysis. The court found that Ratliff's employment agreement explicitly prohibited oral amendments and set conditions for the vesting of stock options. Despite Ratliff's claims of verbal assurances from Chainalysis co-founders promising his career advancement, the court sided with Chainalysis, leading to the dismissal of the $80 million lawsuit. Ratliff's attorney expressed disagreement with the court's decision and plans to appeal. This legal outcome underscores the legal strength of Chainalysis in the face of such disputes.
