Terraform Labs to Cease Operations After Resolving Major Securities Fraud Case with the SEC

Jun 13, 2024

Terraform Labs CEO Chris Amani has revealed intentions to close operations subsequent to reaching a settlement in a significant securities fraud lawsuit with the U.S. Securities and Exchange Commission (SEC). The declaration was made in a recent announcement by Amani, where he expressed gratitude towards the company's backers. Additionally, Amani highlighted the forthcoming plans for the Terra ecosystem following the legal dispute resolution. He specifically mentioned that a community proposal would soon be released to eliminate all unvested Luna tokens, stating, "Anything that remains vested in our wallets will be burned by TFL." The implications of this substantial reduction in supply on the future viability of $LUNA and $LU1NC are currently uncertain. Despite the decision to shut down operations, Amani suggested the possibility of the Terra ecosystem continuing under community leadership. He urged community members to assume ownership of the blockchain, indicating interest from various teams and developers to take control. Amani asserted, "The community will need to take over ownership of the chain. I believe there are a couple teams and devs who want to do this and you should be seeing information in the forums soon." Terraform Labs encountered legal complications originating from the collapse of its algorithmic stablecoin, Terra USD (UST), in 2022, resulting in significant investor losses. This event led to the SEC charging Terraform and its co-founder, Do Kwon, for engaging in unregistered transactions and securities fraud. The SEC's final consent judgment suggests penalties totaling $4.47 billion, including disgorgement and civil charges, with Kwon being barred from holding officer or director positions in public companies. The regulator's objective with this judgment is to provide restitution for investors and deter future misconduct in the crypto sector. Initially contesting the SEC's proposed $5.3 billion fine, Terraform Labs ultimately agreed to a settlement to resolve the case.
